Vistra Corp. (NYSE: VST), a leading US electricity generation and retail energy company, has completed its acquisition of Cogentrix Energy, expanding its power generation portfolio with approximately 5,500 megawatts (MW) of natural gas capacity across several major US electricity markets.
The transaction, announced on October 30, 2026, includes 10 modern natural gas generation facilities acquired from funds managed by Quantum Capital Group. The acquisition was finalized following the receipt of all required regulatory approvals, marking another significant step in Vistra's strategy to expand its energy infrastructure and strengthen its position in the US power generation industry.
With the additional facilities, Vistra's total generation portfolio now approaches 50,000 MW of capacity nationwide, reinforcing its position as one of the country's major electricity producers.
The acquired assets include combined-cycle natural gas power plants, combustion turbines, and cogeneration facilities located across key regional electricity markets, including PJM Interconnection, ISO New England, and the Electric Reliability Council of Texas (ERCOT).
These markets serve some of the country's most economically important regions, where electricity demand is influenced by industrial activity, population growth, expanding digital infrastructure, and increasing investment in energy-intensive technologies.
The portfolio includes the Patriot and Hamilton-Liberty facilities in Pennsylvania, each with approximately 881 MW of generation capacity, alongside the 740 MW Rock Springs facility in Maryland.
Additional assets include the Newington power plant in New Hampshire, Bridgeport in Connecticut, Tiverton in Rhode Island, Rumford in Maine, and the Altura Cogeneration facility in Texas.
The acquisition also gives Vistra full ownership of the acquired facilities, including the remaining 25% interests in the Patriot and Hamilton-Liberty plants that Cogentrix did not previously own.
Jim Burke, President and Chief Executive Officer of Vistra, highlighted the strategic importance of natural gas in supporting the country's growing energy requirements and maintaining a dependable electricity supply.
Burke emphasized that the Cogentrix facilities complement Vistra's existing operations and provide opportunities to strengthen operational performance while integrating experienced teams from both businesses.
The acquisition builds on Vistra's established record of expanding its power generation operations through major transactions.
In March 2024, the company completed its acquisition of Energy Harbor, adding approximately 4,000 MW of nuclear generation capacity to its portfolio.
Vistra subsequently expanded its natural gas operations in October 2025 through the acquisition of seven power plants from Lotus Infrastructure Partners, adding more than 2,300 MW of generation capacity.
The latest Cogentrix transaction further diversifies Vistra's geographic footprint and strengthens its presence in strategically important power markets.
The expansion comes at a time when the US electricity industry is experiencing growing demand for reliable power generation, supported by the development of data centers, artificial intelligence infrastructure, manufacturing facilities, and broader electrification trends.
Natural gas power plants remain an important part of the country's electricity infrastructure because they can provide dispatchable generation capacity that supports grid stability and helps balance fluctuations in electricity supply and demand.
For Vistra, the additional facilities create opportunities to serve commercial, industrial, and retail electricity customers while supporting the company's broader business objectives.
Headquartered in Irving, Texas, Vistra operates a diversified energy portfolio that includes natural gas, nuclear, coal, solar, and battery energy storage facilities.
The company combines electricity generation with retail energy services, supplying power to households, businesses, and communities across numerous US states.
As the energy sector continues to adapt to changing electricity consumption patterns and rising infrastructure requirements, large-scale acquisitions are becoming an important mechanism for expanding generation capacity and strengthening market positions.
Vistra's completed acquisition of Cogentrix Energy represents a significant addition to its power generation business, increasing its operational scale and reinforcing its long-term focus on reliability, efficiency, and growth across the US energy market.
