GSK plc (NYSE:GSK) announced on Tuesday an agreement on changes to the ViiV Healthcare minority shareholding structure involving Pfizer (NYSE:PFE) and Shionogi.
Under the agreement, Shionogi will increase its holding in ViiV Healthcare to 21.7%, while GSK will maintain a 78.3% stake. To facilitate this change, ViiV Healthcare will issue new shares to Shionogi for $2.125 billion.
As part of the transaction, Pfizer will receive $1.875 billion, and GSK will receive a special dividend of $0.250 billion.
The deal is expected to be completed in the first quarter of 2026, subject to regulatory clearances.
