MoonPay has entered into a definitive agreement to acquire North Capital Investment Technology, expanding its financial infrastructure beyond crypto and payments into regulated private securities and tokenized real-world assets.
North Capital provides technology and regulated services for private markets, including capital raising, clearing, custody and secondary trading. Its infrastructure includes PPEX ATS, a registered alternative trading system for exempt securities, as well as broker-dealer, transfer-agent and investment-advisory capabilities.
The platform has supported more than $8.7 billion in primary and secondary transaction volume, while PPEX lists more than 1,250 approved assets for secondary trading, according to MoonPay.
Once completed, the acquisition would bring North Capital's regulated securities infrastructure into MoonPay's existing platform, creating a broader offering spanning fiat payments, digital assets and private securities.
The deal also strengthens MoonPay's position in tokenized real-world assets by adding infrastructure that can support issuance, investor onboarding, custody and secondary-market transactions for private securities.
North Capital is expected to become a wholly owned MoonPay subsidiary following completion of the transaction. The deal remains subject to regulatory approvals and customary closing conditions.
